III. PMA Agreement*
Preamble
This Private Membership Association Agreement (“Agreement”) is entered into by andbetween:
Entheos Holistics, operating through the Entheos Holistics Private MembershipAssociation (“the Association”), owned and held by the Entheos Holistics Trust as a trustasset in service of the Entheos Sanctuary Trust’s ecclesiastical mission; and
The undersigned individual (“Member”), who voluntarily seeks membership and agreesto the terms set forth herein.
By executing this Agreement, the Member enters into a private, voluntary, spirituallymotivated contractual relationship with the Association governed by the principles ofcommon law and private covenant.
Article I — Purpose and Nature of the Association
1.1 The Association is a private, member-based religious community organized for thepurpose of offering sacred education, sacramental ministry, spiritual formation,community stewardship, and access to the Entheos tradition’s theological resources — allwithin the private ecclesiastical domain and in service of the Entheos Sanctuary Trust’ssacred mission.
1.2 Membership is voluntary and spiritually motivated. Members seek sincere privateparticipation in a living religious tradition. No membership is a commercial relationship, atherapeutic enrollment, or a public transaction of any kind.
1.3 The Association is governed under the following overlapping legal authorities:
- (a) The First Amendment to the United States Constitution, protecting the freeexercise of religion and the right of private association
- (b) The Religious Freedom Restoration Act, 42 U.S.C. § 2000bb et seq. (“RFRA”),which establishes that any federal action substantially burdening sincere religiousexercise must satisfy strict scrutiny — a compelling governmental interest pursuedthrough the least restrictive means, assessed as applied to the particular religiousclaimant
- (c) The Texas Religious Freedom Restoration Act, Tex. Civ. Prac. & Rem. Code ch.110, which extends equivalent strict-scrutiny protections at the state level
- (d) The constitutional right of private association established in NAACP v. Alabama,357 U.S. 449 (1958), and affirmed in Boy Scouts of America v. Dale, 530 U.S. 640 (2000)
- (e) The church-autonomy doctrine, under which civil courts defer to the internalgovernance and doctrine of religious bodies — Kedroffv. St. Nicholas Cathedral, 344 U.S.94 (1952); Serbian Eastern Orthodox Diocese v. Milivojevich, 426 U.S. 696 (1976); Jones v.Wolf, 443 U.S. 595 (1979); Hosanna-Tabor Evangelical Lutheran Church & School v. EEOC,565 U.S. 171 (2012)
- (f) Common law private contract rights protected by Article I, Section 10 of theUnited States Constitution
- (g) The private express trust form, which predates statutory law and arises from theinherent capacity of natural persons to hold property in trust for a purpose, asrecognized in Elliot v. Piersol, 26 U.S. 328 (1828)
1.4 The Association is a sacred religious community. All of its offerings — educationalprograms, sacramental ceremonies, retreats, community gatherings, and pastoral support— are dimensions of sincere religious practice within a private spiritual covenant, notcommercial services offered to the public.
1.5 The Association is a private membership association — not a publicaccommodation, a place of public commerce, or a public-facing enterprise. Nothingit offers is offered, advertised, or made available to the general public. Membership is aprerequisite to all access, and every member relationship is a known, documented,covenantal one entered by voluntary agreement. This private character is affirmed openly
and honestly — not to place the Association beyond examination, but because the private,non-commercial, membership-gated nature of the community is precisely what itsconstitutional protections are built to safeguard.
Article II — Membership
2.1 By executing this Agreement, the Member enters into a private, consensual,spiritually motivated contractual relationship with the Association, governed by theprinciples of common law and private covenant.
2.2 Membership is entered voluntarily and may be withdrawn by the Member at any time.The Member understands that membership may also be revoked by the Association at itssole discretion, upon written notice, for conduct inconsistent with the community’svalues, mission integrity, confidentiality obligations, or the terms of this Agreement.
2.3 The Member affirms that their motivation for membership is sincere spiritual seeking— genuine engagement with the Entheos tradition as a form of religious practice — notrecreational interest, commercial intent, or therapeutic purpose.
2.4 All of the Association’s offerings are for private spiritual, educational, and religiouspurposes only. They are not public health services, licensed therapeutic treatments,clinical programs, or regulated wellness services of any kind. The Association does notdiagnose, treat, cure, or mitigate any physical or psychological condition.
2.5 The Member acts in their own private spiritual capacity and accepts full personalresponsibility for their engagement with the community’s offerings, consistent with theRelease of Liability and Assumption of Risk executed as part of this registration.
2.6 Membership confers no ownership interest, governance right, equity stake, orfinancial claim against either the Entheos Sanctuary Trust or the Entheos Holistics Trust.
2.7 The Member affirms that they are 18 years of age or older and of the age of majority intheir state of residence, and that they therefore have full legal capacity to enter into thisAgreement.
Article III — Private Domain and Confidentiality
3.1 All materials, teachings, resources, ceremonies, practices, and community interactionswithin Entheos are strictly private — accessible only to members of the Association andnot available to the general public. Everything the Member accesses, experiences, orreceives within the Entheos community belongs to the private domain of this Association.
3.2 The Member agrees that all communications, sacramental experiences, ceremonialcontent, member disclosures, and community interactions within the Association areprivate, confidential, and sacred. Members do not share this material outside theAssociation without the express written consent of the Association.
3.3 The Member agrees not to record, photograph, livestream, or otherwise document anycommunity gathering, ceremony, retreat, integration session, or ministerialcommunication without the express written consent of the Association and allparticipants present.
3.4 The private nature of this community is essential to the integrity of the tradition, theprotection of all members, and the constitutional standing of the Association. Breach ofconfidentiality is a serious matter and may result in immediate revocation of membership.
3.5 Members affirm that their participation reflects their sincere engagement with thetradition and agree to preserve the private covenantal character of the community in all oftheir interactions inside and outside of it.
3.6 — Private Domain Affirmation. The Member affirms that they knowingly andvoluntarily enter the private domain of the Association; that they understand theAssociation’s offerings are private and not public; that they enter solely as a sincereprivate member for their own spiritual participation; and that they are not entering thecommunity as, or on behalf of, any government agency, licensing body, or media entity forthe purpose of investigating, surveilling, or reporting upon it.
Article IV — Member Responsibilities and Conduct
4.1 The Member agrees to conduct themselves with integrity, sincerity, care, and respecttoward all community members, ministers, staff, and sacred spaces — in all forms ofengagement within the Entheos community.
4.2 The Member accepts full personal responsibility for their own health, emotionalwellbeing, physical safety, and the choices they make in the context of their participation.Entheos provides pastoral support, integration guidance, and community care — and theMember remains solely responsible for their own decisions throughout.
4.3 The Member affirms that they have disclosed, or have independently determined therelevance of, any health conditions, psychiatric diagnoses, current medications, orpsychological factors relevant to participation, and have sought professional consultationwhere appropriate.
4.4 The Member agrees not to use, promote, represent, or advertise the Association’sname, community, resources, or mission in any commercial, promotional, or publiccontext — including social media, websites, or any form of public communication —without express written authorization from the Association.
4.5 The Member is warmly welcomed to share the mission with others and to invitesincere seekers to the Entheos website, community, and ecosystem — an act ofstewardship that carries the mission forward. Every person referred in this way is invitedto enter as any member does: through the Association’s own registration, so that theirrelationship with the community is known, documented, and covenantal. The Memberagrees, however, not to facilitate, offer, or administer the sacrament — psilocybin or anysacred medicine received through the Sanctuary — to any person who has not become amember through the Association’s registration. The invitation is offered freely; thesacrament is held within the covenant.
Article V — Liability and Indemnification
5.1 The Member acknowledges and affirms the full terms of the Release of Liability,Assumption of Risk, and Informed Participation Agreement executed as part of thisregistration, the terms of which are incorporated into this Agreement by reference.
5.2 Nothing in this Agreement waives any claim arising from gross negligence or willfulmisconduct by the Association or its members.
5.3 The Member agrees to indemnify, defend, and hold harmless the Association and allRelated Parties from any claim, loss, damage, or cost arising from the Member’s ownconduct, decisions, misrepresentations, or breach of any term of this Agreement.
Article VI — Financial Terms
6.1 The Member acknowledges and affirms the full terms of the Sacred Reciprocity,Voluntary Contributions, and Non-Commercial Acknowledgment executed as part of thisregistration, the terms of which are incorporated into this Agreement by reference.
Article VII — Governing Law, Church Autonomy, and Dispute Resolution
7.1 — Governing Law. This Agreement is governed by and construed under the laws ofthe State of Texas and applicable federal law, without regard to conflict-of-laws principles.The Association operates under the stewardship of the Entheos Holistics Trust, a privateexpress trust organized in Austin, Texas.
7.2 — Church Autonomy Over Ecclesiastical Matters. The Member acknowledges thatthe Association’s internal religious governance — including its doctrine, its Articles ofFaith, the admission and discipline of members, ordination, ceremonial practice, and theinterpretation of its spiritual mission — are ecclesiastical matters committed to theAssociation’s own religious authority. Under the church-autonomy doctrine, civil courtsabstain from adjudicating such internal religious questions and defer to thedeterminations of the religious body (Kedroff, Serbian Eastern Orthodox Diocese v. Milivojevich,Jones v. Wolf, Hosanna-Tabor). The Member agrees not to ask any civil authority to review,second-guess, or override the Association’s internal ecclesiastical determinations.
7.3 — Good-Faith Internal Resolution. Before initiating any formal proceeding, theparties shall first attempt in good faith to resolve any dispute through the Association’sinternal, pastoral dispute-resolution process. The Member agrees to engage this internalprocess first, in keeping with the covenantal nature of the community.
7.4 — Binding Arbitration. Any dispute, claim, or controversy arising out of or relatingto this Agreement, the Member’s membership, or the Member’s participation that is notresolved through the internal process — and that is capable of adjudication by a civiltribunal (that is, excluding the ecclesiastical matters reserved in Section 7.2) — shall beresolved exclusively by final and binding private arbitration, and not in court, exceptas expressly stated in Section 7.6.
- (a) Governing arbitration law. The arbitration is governed by the Federal ArbitrationAct, 9 U.S.C. § 1 et seq.
- (b) Seat and venue. The seat and venue of arbitration is Travis County, Texas, unlessthe parties agree in writing otherwise.
- (c) Arbitrator and rules. The parties may by mutual written agreement appoint asingle, mutually respected arbitrator, including a faith-based or ecclesiastical arbitratorfamiliar with private religious associations. If the parties do not agree within thirty(30) days of a demand for arbitration, the arbitration shall be administered by arecognized arbitration provider (such as the American Arbitration Association orJAMS) under its applicable rules, before a single arbitrator.
- (d) Delegation. Questions concerning the scope, applicability, enforceability, orformation of this arbitration provision shall be decided by the arbitrator.
- (e) Confidentiality. The arbitration, all submissions and testimony, and the awardshall be held confidential, consistent with the private nature of the Association, exceptas necessary to confirm or enforce the award.
- (f) Accessibility of cost. Consistent with the Association’s Sacred Reciprocity &Accessibility Commitment, the Association will advance or bear the arbitration filingand arbitrator fees for any Member of genuinely limited means, so that cost is never abarrier to resolution. Each party otherwise bears its own attorneys’ fees unless thearbitrator awards them as permitted by law.
- (g) Individual basis. All disputes are resolved on an individual basis. To the extentpermitted by law, the Member and the Association waive any right to bring orparticipate in a class, collective, or representative proceeding.
7.5 — RFRA Framework for Governmental Action. Where any governmental actionwould substantially burden the sincere religious exercise of the Association or itsmembers, the Member and the Association affirm their intent to invoke the ReligiousFreedom Restoration Act (42 U.S.C. § 2000bb et seq.), the Texas Religious FreedomRestoration Act (Tex. Civ. Prac. & Rem. Code ch. 110), and the First Amendment —under which the government bears the burden of demonstrating a compelling interestpursued through the least restrictive means, as applied to this specific community’ssincere practice (Gonzales v. O Centro Espírita Beneficente União do Vegetal, 546 U.S. 418(2006)).
7.6 — Preservation of Jurisdiction; Limited Judicial Recourse. This Agreement doesnot purport to remove the jurisdiction of any lawfully constituted court, and no suchremoval is intended or claimed. Consistent with the Federal Arbitration Act, either partymay (i) apply to a court of competent jurisdiction to compel arbitration, or to confirm,enforce, vacate, or modify an arbitration award; and (ii) seek temporary injunctive orprovisional relief in aid of arbitration. Nothing in this Article waives any claim arisingfrom gross negligence or willful misconduct, or any right that may not lawfully be waivedby pre-dispute agreement.
7.7 — Severability. If any provision of this Article is held unenforceable, the remainderof this Article and this Agreement remains in effect, and the unenforceable provision shallbe limited or reformed to the minimum extent necessary to make it enforceable. If theindividual-basis provision in Section 7.4(g) is held unenforceable as to any claim, thatprovision is severed as to that claim, which shall then proceed in court rather than inarbitration.
Article VIII — Member Affirmations
By executing this Agreement, the Member affirms:
8.1 They have read and understood this Agreement in full, and enter it freely andvoluntarily.
8.2 They join this community of their own free will, without coercion, and motivated bysincere spiritual intent.
8.3 They acknowledge that all of Entheos’ offerings are private, spiritual, and educationalin nature — not commercial, medical, or public.
8.4 They accept personal responsibility for their participation and have released theAssociation from liability as detailed in this Agreement and the accompanying Release ofLiability.
8.5 They share in the sincere conviction — consistent with their own executed Affidavit ofSincere Religious Belief — that the pursuit of a direct relationship with the Divinethrough sincere spiritual and sacramental practice is a fundamental human right and aprotected form of religious exercise.
8.6 They understand that this Association’s strength rests on operational and covenantaldiscipline, and they commit to honoring that discipline through their participation.
Article IX — Electronic Signature and Consent
By clicking “I Agree,” the Member confirms that:
(a) They have read and understood this Agreement in full;
(b) They enter this Agreement freely and voluntarily, without coercion;
(c) Their electronic acknowledgment constitutes a legally binding digital signature,equivalent to a physical signature, under common law, the Uniform ElectronicTransactions Act (UETA), and the Electronic Signatures in Global and NationalCommerce Act (ESIGN);
(d) This Agreement is a binding private covenant governing the Member’s relationshipwith the Entheos Holistics PMA for the duration of their membership.
